Varun Beverages Ltd (VBL), a prominent PepsiCo franchise bottler globally, recently announced its strategic move to acquire South Africa’s The Beverage Company Ltd (BevCo). This expansion aims to strengthen VBL’s presence in Africa and tap into the lucrative South African soft drinks market.

Acquisition Details

The proposed transaction values BevCo at ZAR 3 billion (₹1,320 crore). VBL plans to acquire a 100% stake in BevCo, including its wholly-owned subsidiaries. The Board of Directors approved this decision, with an option for minority co-investment from a large equity fund, pending regulatory approvals, including those from PepsiCo Inc. and Competition Commission South Africa.

BevCo’s Business Landscape

BevCo is a key player in South Africa, engaged in manufacturing and distributing licensed PepsiCo and own-branded non-alcoholic beverages. With franchise rights from PepsiCo Inc. in South Africa, Lesotho, and Eswatini, and distribution rights for Namibia and Botswana, BevCo achieved substantial sales volumes of 117 million 8oz cases and net revenue of ZAR 3,615 million (₹1,590 crore) in FY23.

South Africa’s Soft Drinks Market Dynamics

South Africa boasts the largest soft drinks market in Africa, marked by high per capita consumption. VBL attributes this growth to rising affluence, urbanization, longer workdays, and increased interest from female consumers. These factors contribute to the industry’s expansion and make it an attractive market for strategic acquisitions.

Product Portfolio and Market Presence

BevCo’s product lineup includes PepsiCo franchise brands like 7UP, Mirinda, Mountain Dew, Pepsi, Pepsi Light, and Pepsi Max, along with other proprietary brands. VBL, already holding rights to manufacture, distribute, and sell PepsiCo products in India, is the largest PepsiCo bottler in the country. The acquisition further bolsters its global market presence.

VBL’s Existing Market Presence

VBL operates across 27 states and 7 union territories in India, offering a wide array of PepsiCo products. Beyond India, it holds the franchise for various PepsiCo products in Nepal, Sri Lanka, Morocco, Zambia, and Zimbabwe. India contributes 80% of revenues from operations, making it a crucial market for VBL.

Financial Landscape

In 2022, VBL reported net sales of ₹13,731 crore, showcasing its financial strength and stability. The acquisition of BevCo aligns with VBL’s growth strategy, expanding its footprint and diversifying its revenue streams.
